ServiceNow at $135.57

ServiceNow is no longer just digitizing workflows. It wants to become the control tower for AI agents across the enterprise, and the current price assumes that ambition produces premium economics.

Every enterprise wants AI agents.

Very few enterprises want those agents acting without permissions, audit trails, data controls, and defined workflows.

That is where ServiceNow fits.

It does not need to build the best foundation model.

It needs to become the place where agents are governed and work gets completed.

At $135.57, the stock asks ServiceNow to turn that role into years of 20%-plus growth and expanding owner earnings.

What ServiceNow actually controls

ServiceNow controls enterprise workflow context.

IT service management was the entry point. The platform now spans employee, customer, security, risk, creator, and industry workflows.

AI agents become more valuable when they can act across those connected processes.

In Q2 2026, subscription revenue rose 24.5% to $3.88 billion. Current remaining performance obligation grew 21% to $13.2 billion.

ServiceNow AI crossed $1 billion of annual contract value.

Why does that matter?

Because AI monetization is already material rather than theoretical.

Business quality versus stock valuation

ServiceNow has recurring subscription revenue, deep enterprise integration, high switching costs, and a platform that becomes more valuable as customers add workflows.

The company ended Q2 with $29.0 billion of remaining performance obligations and 658 customers above $5 million of annual contract value.

That is remarkable visibility.

The complication is the cost structure.

GAAP subscription gross margin fell to 73.5% from a much higher non-GAAP 80.5%, reflecting stock compensation, acquired intangibles, and growing hosting costs as AI adoption expands.

Why does that matter?

Because the AI control tower is valuable only if the cost of running it does not absorb the price customers pay.

What $135.57 requires

I use 2031 as the checkpoint and a 10.1% required annual return.

That hurdle starts with the 5.11% 10-year Treasury yield, adds the 4.14% implied U.S. equity risk premium, and uses a 1.20 bottom-up beta for enterprise application software.

At a 32 times terminal earnings multiple, today's split-adjusted price requires roughly $6.90 of 2031 owner earnings per share.

That requires subscription growth near 20%, continuing margin leverage, and a lower burden from stock compensation and acquisition accounting.

ServiceNow has the growth.

The price still asks it to keep the premium.

Three possible outcomes

Conservative: about $69 today

ServiceNow earns $4 per share in 2031 and receives a 28 times terminal multiple.

Workflow growth remains solid, but AI serving costs pressure gross margin, competition intensifies, and acquisitions slow per-share progress.

The business remains excellent.

The valuation compresses.

Base case: about $138 today

ServiceNow earns $7 per share in 2031 and receives a 32 times terminal multiple.

Subscription revenue compounds near 20%, AI ACV scales, and the platform delivers steady margin improvement after stock compensation.

That outcome roughly supports the checked price.

Upside case: about $223 today

ServiceNow earns $10 per share in 2031 and receives a 36 times terminal multiple.

This requires ServiceNow to become a standard control plane for enterprise agents while preserving strong retention and premium margins.

At $135.57, the market is pricing something close to my base case.

Debt, acquisitions, and dilution

ServiceNow's Q2 Form 10-Q showed $6.7 billion of cash and marketable securities and $7.5 billion of senior notes and commercial paper.

Debt increased materially during the first half as the company funded acquisitions. Investing cash outflow reached $7.1 billion, driven primarily by $8.7 billion more acquisition spending.

Treasury shares also increased as ServiceNow repurchased stock.

Why does that matter?

Because inorganic platform expansion can strengthen the product while weakening the balance sheet or diluting the economics.

The relevant scorecard is growth in free cash flow per diluted share after acquisitions, not the number of products on the platform.

What to watch out for

  • Subscription revenue and cRPO - because contracted growth is the cleanest demand signal.
  • AI annual contract value and paid agent deployments - because ServiceNow has already crossed the experimentation stage.
  • GAAP subscription gross margin - because AI usage and hyperscaler partnerships carry real serving costs.
  • Large-customer growth - because workflow breadth should increase spend inside strategic accounts.
  • Acquisition returns and net debt - because buying growth changes the risk profile.
  • Free cash flow per diluted share - because that is where growth, dilution, and acquisition cost meet.

What could change the thesis

The thesis would strengthen if AI ACV keeps compounding, cRPO remains above 20%, and GAAP gross margin stabilizes while debt declines.

The thesis would weaken if AI usage grows without higher customer spend, acquisitions remain necessary to sustain growth, or hosting costs pressure margins structurally.

The disconfirming evidence would be more workflows and agents without more owner earnings per share.

Bottom line

ServiceNow controls the workflow layer through which enterprise AI must become accountable work.

Business quality: exceptional.

AI monetization: already visible.

Capital allocation: newly important.

Valuation: close to my base case.

At $135.57, ServiceNow is priced to remain one of software's rare 20%-plus compounders.

The practical principle: the best enterprise AI platform may not own the model. It may own the permissions, workflow, and audit trail around the model.
